7. Incorporation
Has the partnership incorporated into a legal entity?
Up to 18 months before ballot
  • According to the legislative basis of BIDs, it is not actually essential to create a legal entity for a BID. Technically the BID levy could be administered through the local authority. However, in the spirit of developing an independent, business-led partnership it is highly desirable to set the BID up as a company
  • The partnership needs to debate and agree the principle of whether it is going to incorporate in its own right or indeed operate within a wider organisation
  • If the board agrees to incorporate it needs to achieve board resolution to establish a company
  • It is then necessary to undertake all the tasks associated with setting up a company
  • To date all BIDs have chosen to set up as a not for profit company limited by guarantee
